1. Acceptance of Terms
By accessing the MBS Client Success Portal (the “Portal”), you agree to these Terms of Service on behalf of your agency and each user you authorize. If you do not agree, do not use the Portal.
2. Eligibility and Accounts
The Portal is invitation-only. Accounts are provisioned by MBS or by your agency administrator. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Do not share accounts or bypass invitation flows.
3. Authorized Use
- Use the Portal only for legitimate revenue cycle, credentialing, compliance, and reporting activities related to services MBS provides to your agency.
- Do not attempt to access another agency's data, reverse engineer the Portal, or interfere with its operation.
- Comply with all applicable laws, including HIPAA and Colorado state regulations.
4. Customer Data
Your agency retains ownership of data it uploads. MBS processes that data to deliver contracted services and to operate, secure, and improve the Portal. Handling of Protected Health Information (PHI) is governed by the separate Business Associate Agreement (BAA) between MBS and your agency; see our BAA Notice.
5. Service Availability
MBS strives for high availability but does not guarantee uninterrupted service. Scheduled maintenance, incidents, or third-party outages may temporarily affect access. Historical financial records are preserved on an append-only ledger and are not overwritten.
6. Fees
Fees, if any, are governed by the written service agreement between MBS and your agency. Nothing in these Terms modifies that agreement.
7. Termination
MBS may suspend or terminate access for violation of these Terms, non-payment, or ending of the underlying service relationship. Upon termination, data will be handled as described in the service agreement and BAA.
8. Disclaimers
The Portal is provided “as is” without warranties of any kind, express or implied, to the maximum extent permitted by law. MBS does not warrant that outputs, calculations, or AI-assisted suggestions are error-free; all clinical, coding, and billing decisions remain the responsibility of your agency.
9. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages arising out of use of the Portal. Direct damages are limited as set forth in the service agreement between the parties.
10. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles. Venue for any dispute lies in the state or federal courts located in Colorado.
11. Changes
MBS may update these Terms from time to time. Material changes will be communicated to agency administrators via the Portal or email prior to taking effect.
